PRIVATE LABEL PARTNER TERMS + POLICIES
These policies are provided as an easy operational reference for approved Spray Studio Supply partners.
Your signed Private Label Partner Agreement remains the governing agreement if there is ever a conflict between these policies and your signed agreement.
APPROVED PARTNERS ONLY
Pricing and ordering access are reserved exclusively for approved Spray Studio Supply Private Label Partners.
Partner accounts, login credentials, pricing and ordering privileges may not be transferred or shared with another business.
ORDER MINIMUMS
Standard minimum order quantity is 25 units per individual SKU/variant, per order.
Quantities may not be combined between different products, sizes, fragrances, packaging configurations or variants.
VOLUME PRICING
Current standard pricing:
25–49 units: 40% off MSRP
50–199 units: 50% off MSRP
200+ units: 55% off MSRP
Pricing is calculated independently for each SKU/variant.
Spray Studio Supply may update prices, fees and pricing tiers prospectively.
ACTIVE PARTNER ACCOUNTS
Spray Studio Supply is designed for active private-label businesses.
Accounts with no qualifying product order for 90 consecutive days may be reviewed, suspended or required to reapply.
Partners should order inventory in quantities reasonably consistent with expected sales and maintain appropriate inventory rotation.
PAYMENT
Orders are paid in full when placed unless different written payment terms have been expressly approved.
Production begins after required payment has been received.
ORDER CHANGES + CANCELLATIONS
Because private-label orders require inventory allocation, production, filling, packaging and other preparation, orders become final once payment has been received and processing has begun.
After processing begins, orders may not be cancelled, reduced or changed without written approval from Spray Studio Supply.
PRODUCTION + LEAD TIMES
Typical fulfillment time is approximately 2–3 weeks.
Lead times are estimates and may vary due to inventory availability, packaging/components, manufacturing schedules, order volume, carrier delays or supply-chain conditions.
LABELS
Partners must submit current final label artwork for each product.
Updated or revised artwork must be resubmitted whenever a label changes.
Partners may:
- receive products unlabeled and apply their own labels;
- supply approved labels to Spray Studio Supply for application; or
- arrange approved label printing through Spray Studio Supply when available.
Current label-application and printing fees apply.
BRANDING + LABEL RESPONSIBILITY
Partners are responsible for their own:
- brand names;
- product names;
- trademarks;
- logos;
- artwork;
- marketing claims; and
- regulatory compliance.
Spray Studio Supply’s review or physical application of a label does not constitute trademark clearance or legal approval of Partner-created branding or claims.
PRODUCT HANDLING
Partners are responsible for proper storage, handling and inventory rotation after delivery.
Products may not be diluted, refilled, contaminated, reformulated, repackaged or otherwise materially altered without written authorization.
RESALE RESTRICTIONS
Products purchased through a Partner account are intended for sale under that Partner’s approved brand.
Partners may not purchase products for another business to private label, relabel or sell under another brand.
Unlabeled product may not be resold in bulk.
Third-party wholesale distribution of Partner-branded products requires prior written approval.
DAMAGES + SHORTAGES
Inspect shipments promptly.
Damaged, leaking, missing or incorrectly fulfilled items must be reported within 5 business days after delivery, with photographs or other documentation when requested.
Verified fulfillment problems will be reviewed and resolved through replacement, credit or another appropriate remedy.
RETURNS
Except for verified damaged, defective, missing or incorrectly supplied products, private-label products are final sale and non-returnable.
SHIPPING
Shipping is billed separately after the order has been packed.
UPS or freight is selected based on actual shipment size, weight, destination and order volume.
Shipping balances must be paid before orders are released.
LOCAL PICKUP
Local pickup is available when offered at checkout.
Partners must wait for a Ready for Pickup notification before arriving.
CONFIDENTIAL INFORMATION
Private-label pricing, proprietary product information, production information, sourcing information and other non-public Spray Studio Supply business information may not be disclosed, reproduced or used outside the approved partnership.
HIGH-VOLUME ACCOUNTS
Spray Studio Supply may offer separately negotiated pricing or production arrangements to qualifying high-volume partners at its discretion.
